Terms of service.

Description of Service

Descriptions of Service are detailed in the Statement of Work and Appendices (if applicable).

Payments/Refunds

All payments are nonrefundable. An initial deposit is due to commence the project or program work, and a percentage of the remaining balance is due prior to project deliverables being turned over to the client (generally 50/50 or 40/30/30). In the case of a retainer payment model, the next months’ payment is due prior to the 20th of the current month.

Termination
Either party may terminate this Agreement for convenience with 30 days prior written notice to the other Party. Either Party may terminate this Agreement effective immediately by written notice if it is discovered that the other Party has intentionally or in a willful or reckless manner made any material, false representation, report or claim relative to the Agreement; or engaged in any deceptive trade practices.

Force Majeure

Green Thread Consulting, LLC shall be excused from any delay or failure in performance required hereunder if caused by reason of any occurrence or contingency beyond its reasonable control, including, but not limited to, acts of God, acts of war, fire, insurrection, strikes, lock-outs or other serious labor disputes, riots, earthquakes, floods, explosions or other acts of nature.

Limitation of Liability

The Client acknowledges and agrees that Green Thread Consulting will not be liable for any losses or damages, whether indirect, incidental, special or consequential, in profits, goods or services, irrespective of whether or not the Client has been advised or otherwise might have anticipated the possibility of such loss or damage.

No Guarantee

The client acknowledges and agrees that Green Thread Consulting, LLC cannot guarantee the results or effectiveness of any of the services rendered or to be rendered. Rather, services shall be executed in a professional manner and in accordance with good industry practice. Best efforts will be used but no results are promised.

Specific Details of Individual Projects/Programs are detailed in the Appendices for each client.

All documentation is agreed to by payment of the nonrefundable deposit that is due at the time the contract becomes valid.
